Terms of Service

These Terms of Service ("Terms") govern your use of the LMS Genie Suite™ of tools operated by MentoringU ("we," "us," or "our"), including browser-based tools at lmsgenieapp.com, subscriber tools at subscriber.lmsgenieapp.com, and Google Sheets Editor add-ons distributed via the Google Workspace Marketplace.

By using any LMS Genie™ tool, you agree to these Terms. If you do not agree, do not use our tools.

1. Description of Services

The LMS Genie Suite™ provides productivity tools for Learning & Development professionals, LMS administrators, and instructional designers. Our tools include:

Free browser-based tools (e.g., Embed Genie) that run entirely in your browser
Subscriber web tools (e.g., Quiz Genie, Translator Genie) accessible via paid subscription
Google Sheets add-ons (e.g., Course Updater, Onboarding, Unenrollment) that connect to your LMS via API

2. Account & Access

Some tools require a subscriber account or Google account. You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account. One subscription covers the number of users specified in your pricing plan (Solo: 1 user, Team: up to 5, Agency: unlimited).

3. Subscriptions & Billing

Subscriptions are billed monthly or annually via Stripe at the rate shown at the time of purchase.
You may cancel at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are issued.
We reserve the right to change pricing with 30 days' notice. Existing subscribers retain their current rate until their next renewal.
Google Sheets add-ons distributed free via the Marketplace may be used without a subscription. If we introduce paid tiers for add-ons in the future, existing free users will be notified.

4. Your Responsibilities

When using our tools, you agree to:

Use valid API credentials that you are authorized to use for your LMS instance
Comply with your LMS provider's terms of service and API usage policies
Take responsibility for the data you process through our tools — we provide the mechanism, but you control what data is sent and to which LMS
Use Test Mode before running bulk operations on production data
Not use our tools for any unlawful purpose or to violate the rights of others
Not attempt to reverse-engineer, decompile, or extract source code from our tools beyond what is visible in Google Apps Script
Not redistribute, resell, or sublicense access to our tools without written permission

5. API Operations & Data

      Important: Our Google Sheets add-ons send API requests directly to your LMS instance using your credentials. You are responsible for the accuracy and appropriateness of all operations performed. We recommend always using Test Mode first and reviewing results before running full batch operations.
    

We do not monitor, log, or review the content of your API requests or responses. Operations are executed as instructed by the data you provide in your spreadsheet. MentoringU is not responsible for unintended changes to your LMS data resulting from incorrect spreadsheet data, misconfigured settings, or API behavior changes by your LMS provider.

6. Intellectual Property

All LMS Genie™ tools, code, documentation, branding, and content are the intellectual property of MentoringU. Your subscription or use grants you a limited, non-exclusive, non-transferable license to use the tools for their intended purpose. You retain ownership of your own data, course content, and LMS configurations.

7. Limitation of Liability

To the maximum extent permitted by law:

Our tools are provided "as is" and "as available" without warranties of any kind, express or implied
We do not warrant that our tools will be uninterrupted, error-free, or compatible with all LMS configurations
MentoringU's total liability for any claim arising from your use of our tools shall not exceed the amount you paid us in the 12 months preceding the claim
We are not liable for any indirect, incidental, consequential, or punitive damages, including lost data, lost revenue, or business interruption
We are not liable for changes to your LMS data resulting from operations you initiated through our tools

8. Availability & Changes

We strive to keep our tools available and functional, but we reserve the right to modify, suspend, or discontinue any tool at any time with reasonable notice. We will provide at least 30 days' notice before discontinuing a paid tool. Google Sheets add-ons are also subject to Google's Workspace Marketplace policies and may be affected by changes to Google's platform.

9. Termination

You may stop using our tools and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, use our tools in a way that harms other users, or fail to pay subscription fees. Upon termination, your right to use subscriber tools ends immediately. Your LMS data and Google Sheets data remain yours and are not affected.

10. Third-Party Services

Our tools integrate with third-party services including Google Workspace, LearnUpon, TalentLMS, Auth0, Stripe, and Anthropic. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Harris County, Texas.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our tools after changes constitutes acceptance of the revised Terms. For material changes, we will notify active subscribers via email.
