Terms of Service

These Terms of Service ("Terms") govern your use of LMS Genie™ and the Genie Suite™ operated by MentoringU ("we," "us," or "our"), including the free browser tools at lmsgenieapp.com and the subscriber web app.

By using any LMS Genie™ tool, you agree to these Terms. If you do not agree, do not use our tools.

1. Description of Services

LMS Genie™ provides productivity tools for Learning & Development professionals, LMS administrators, and instructional designers:

Free browser tools (e.g., Embed Genie) that run entirely in your browser.
Subscriber tools in the web app that connect to your LMS using your own API key (e.g., Course Updater, User Setup, Unenrollment, Account Merger).

2. Account & Access

Subscriber tools require an account. You are responsible for keeping your account secure and for providing accurate information. One subscription covers up to the number of users included in your plan (currently up to 3 users). You may not share access beyond your plan's user limit.

3. Subscriptions & Billing

Subscriptions are billed annually via Stripe at the rate shown at the time of purchase.
You may cancel anytime from the Billing page inside the app, which opens the Stripe customer portal. Cancellation takes effect at the end of the current billing period — no partial refunds are issued.
We may change pricing with 30 days' notice; existing subscribers keep their current rate until their next renewal.

4. Your Responsibilities

When using our tools, you agree to:

Use valid API credentials that you are authorized to use for your LMS instance.
Comply with your LMS provider's terms of service and API usage policies.
Take responsibility for the data you process — we provide the mechanism, but you control what is sent and to which LMS.
Use a Dry Run to preview changes before running live operations on production data.
Not use our tools for any unlawful purpose or to violate the rights of others.
Not attempt to reverse-engineer or extract source code from our tools, and not redistribute, resell, or sublicense access without written permission.

5. API Operations & Data

      Important: Our tools send API requests directly to your LMS instance using your credentials. You are responsible for the accuracy and appropriateness of all operations. We recommend a Dry Run first and reviewing the results before running live.
    

Operations are executed as instructed by the data you provide. We keep only a metadata activity log of your runs (see our Privacy Policy) and do not retain the contents of your rows or your LMS data. MentoringU is not responsible for unintended changes to your LMS resulting from incorrect data, misconfigured settings, or API behavior changes by your LMS provider.

6. Intellectual Property

All LMS Genie™ tools, code, documentation, branding, and content are the intellectual property of MentoringU. Your subscription grants you a limited, non-exclusive, non-transferable license to use the tools for their intended purpose. You retain ownership of your own data, course content, and LMS configurations.

7. Limitation of Liability

To the maximum extent permitted by law:

Our tools are provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant that our tools will be uninterrupted, error-free, or compatible with all LMS configurations.
MentoringU's total liability for any claim arising from your use of our tools shall not exceed the amount you paid us in the 12 months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including lost data, lost revenue, or business interruption.
We are not liable for changes to your LMS data resulting from operations you initiated through our tools.

8. Availability & Changes

We strive to keep our tools available and functional, but we reserve the right to modify, suspend, or discontinue any tool at any time with reasonable notice. We will provide at least 30 days' notice before discontinuing a paid tool.

9. Termination

You may stop using our tools and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, use our tools in a way that harms other users, or fail to pay subscription fees. Upon termination, your right to use subscriber tools ends immediately. Your LMS data remains yours and is not affected.

10. Third-Party Services

Our service relies on third-party providers including Supabase, Netlify, and Stripe, and connects to your LMS (LearnUpon) using your own API key. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Harris County, Texas.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our tools after changes constitutes acceptance of the revised Terms. For material changes, we will notify active subscribers via email.
